Company Profile and History

PROFILE
Rainy River Resources is focussed on exploring and developing a newly discovered gold resource in the southwest corner of northern Ontario.

The company's key asset is its large 100%-owned advanced exploration stage Rainy River gold project with an NI43-101 compliant gold resource of 0.65 Moz Measured, 3.76 Moz indicated and 2.33 Moz inferred.

Rainy River Resources is listed on the Toronto Stock Exchange main board under the symbol "RR".  The company graduated to the main board on September 28, 2011 from the TSX Venture Exchange, where it had been listed since June 15, 2005.

HISTORY
Exploration at the Rainy River Gold Project (RRGP) started as early as 1967, with Noranda, International Nickel Corporation of Canada, Hudson’s Bay Exploration and Development and Mingold Resources operating in the area to 1989. The Ontario Geological Survey conducted geological mapping in 1971 and again in 1987 to 1988 in conjunction with a rotasonic overburden drilling program. Nuinsco started exploring the area between 1990 and 2004.  In June 2005, Rainy River acquired a 100% interest in the project from Nuinsco.

Nuinsco drilled a series of widely spaced reverse circulation (RC) drill holes from 1994 to 1998, defining a fifteen kilometre long “gold-grains-in-till” dispersal train emanating from a thickly overburden-covered, six square kilometre "gold-in-bedrock" anomaly. Nuinsco completed a series of diamond drill programs to assess the mineral potential of the anomalies which led to the initial discovery of the 17 Zone in 1994.

Nuinsco subsequently discovered the 34 Zone in 1995 and 433 Zone in 1997. Between 1994 and 1998, Nuinsco drilled 597 reverse circulation holes and 217 diamond drill holes (49,515 metres). These were mostly in Richardson Township. The 34 Zone was further drill tested between 1999 and 2004.

Upon acquisition in 2005, Rainy River Resources relogged key sections of the historical core drilled on the property and then input all of the data into a GIS database.

The Company subsequently drilled over 100 RC holes in three phases to better define the “gold-in-till” and “gold-in-bedrock” anomalies. Between 2005 and 2007, 209 diamond drill holes for 95,340 metres were drilled.

As of December 31, 2010 the estimated gold mineral resource is based on data received from 891 diamond drill holes totaling 388,652 metres.

Year-over year resources tabulations are provided in the graphic below:

§  The initial resource was calculated in 2003 by Nuinsco.

§  In April 2008, a mineral resource estimate was completed by CCIC.

§  In 2009, SRK prepared a mineral resource statement incorporating information from an additional 112 core boreholes (59,719 metres) drilled during 2008.

§  In early 2010, SRK prepared a revised mineral resource statement to incorporate information from 124 core boreholes (68,453 metres) drilled on the project during 2009.

§  SRK completed the February 2011 resource update incorporating the 174 diamond drill holes (107,042 metres) from the 2010 program.

§  In June 2011, a second update included an additional 49 drill holes (17,000 metres) from the 2011 program.

§  As of March 31, 2011, diamond drilling totalled 950 holes for a combined (Nuinsco / Rainy River Resources) meterage of 416,468 metres of drilling on the Rainy River Gold Project.
